9. The Vendor and the Proprietor covenant, undertake, warrant and represent to and with the Purchaser that:
(a) the Proprietor is the beneficial owner of the said Automotive and has full power and authority to sell the said Automotive;
(b) the Vendor and the Proprietor have not at any time prior to and up to the date hereof entered into any agreements or arrangements, whether in writing or otherwise for the sale or disposal of the said Automotive to any person or corporation, body corporate or unincorporated nor granted any option or the right of first refusal, whether written or otherwise in favour of any person, firm, corporation, body corporate or unincorporated for the purchase of the said Automotive;
(c) the Proprietor has not knowingly permitted or caused any of the insurance on the said Automotive to lapse or do anything to make any such policy of insurance void or voidable;
(d) no litigation, arbitration or administrative proceedings are presently current or pending or threatened against the said Automotive which default, litigation, arbitration or administrative proceedings, as the case may be, might materially affect the Proprietor's ability to perform the Proprietor's obligations under this Agreement or frustrate the completion of the transaction hereunder; and
(e) that this Agreement constitutes the legal, valid and binding obligations of the Vendor/Proprietor and enforceable against the Vendor/Proprietor in accordance with the terms and conditions contained herein.
(f) the Vendor/Proprietor is not a bankrupt and there is no bankruptcy proceedings instituted against him.
