In data 10 aprile 2003 <PROTECTED> S.p.A. ha ceduto a terzi la propria partecipazione del 100% nel capitale sociale di <PROTECTED> S.r.l., proprietaria di un immobile commerciale a <PROTECTED> (IM).

On 10 April 2003, <PROTECTED> S.p.A. sold its 100% stake in the share capital of <PROTECTED> S.r.l., which owns a retail property in <PROTECTED> (Imola).

Per le sue caratteristiche e per la ubicazione è particolarmente idonea a soddisfare esigenze di tipo culturale, storico e sociale di rilievo.

Given its characteristics and its location, it is particularly suitable for meeting cultural, historical and important social requirements.

Gli Amministratori hanno riferito sull’attività svolta dalla società e dalle controllate, informandoci sul generale andamento, sulle operazioni di maggior rilievo economico finanziario e patrimoniale effettuate e possiamo ragionevolmente assicurare che le azioni deliberate e poste in essere sono conformi alla legge ed allo statuto sociale e non sono manifestamente imprudenti, azzardate, in potenziale conflitto di interesse o in contrasto con le delibere assunte dall’Assemblea o tali da compromettere l’integrità del patrimonio sociale.

The Directors have reported on the activities carried out by the company and its controlled companies, informing us of the general performance, the operations that had a major impact on the profit and loss account and the balance sheet we can reasobnably state that the actions approved and carried out complied with the law and the Articles of Association and do not appear to have been imprudent, risky, likely to give rise to a conflict of interest or in conflict with the resolutions passed by the Shareholders’ Meeting or such as to compromise the integrity of the Company’s capital and reserves.

Essa potrà in via non prevalente, in relazione allo scopo suddetto e non nei confronti del pubblico, compiere tutte le operazioni finanziarie, industriali, commerciali, mobiliari ed immobiliari ritenute dagli Amministratori necessarie od utili per il conseguimento dell'oggetto sociale, nonché assumere partecipazioni ed interessenze in società od imprese aventi oggetto analogo, affine o connesso al proprio.

In connection with the above purpose, the company may engage, though not as its main activity and not with the public, in financial, industrial, commercial, securities and real estate transactions that the Directors consider necessary or useful to achieve the corporate purpose, as well as to acquire shareholdings or interests in companies or enterprises with a purpose analogous, similar or related to its own.

L’acquisto del portafoglio “Mozart”, descritto diffusamente nell’ambito degli eventi di rilievo dell’esercizio, è da considerarsi un’operazione effettuata con parti correlate, in quanto il 57% del capitale sociale del venditore <PROTECTED> <PROTECTED> <PROTECTED> gmbh era posseduto al momento dell’acquisizione dalla società <PROTECTED> <PROTECTED> AG, proprietaria del 17,36% del capitale con diritto di voto della capogruppo <PROTECTED> S.p.A..

As discussed under Significant events in 2002 the Mozart portfolio acquisition qualifies as a transaction with related parties, to the extent that <PROTECTED> <PROTECTED> AG, a 17.36 per cent voting shareholder of <PROTECTED> S.p.A., had a 57 per cent ownership interest in <PROTECTED> <PROTECTED> <PROTECTED> g.m.b.h., the portfolio vendor, at the date of acquisition.

In conclusione il collegio Sindacale ritiene che, alla luce della documentazione prodotta e delle verifiche effettuate, considerando l'operazione così come complessivamente ideata, non emergano rilievi significativi sotto il profilo della correttezza della gestione e della salvaguardia dell'interesse sociale.

In conclusion, the Board of Statutory Auditors feels, in light of the documentation provided and the verifications performed, and considering the operation as designed in its entirety, that there are no significant issues in terms of the appropriateness for operations and the protection of company interests.
