DTBV接收全部或部分货物不得被视为放弃以延迟交货或卖方未按照本GTC’s或采购合同索赔的权利履行义务为由索赔的权利。

Acceptance of all or part of the goods shall not be deemed a waiver of any claim based on delay of delivery or other failure to perform in accordance with these GTC’s or the purchase contract.

买方有权以书面申请有方式终止本合同。如果卖方计划将其公司和/或其全部业务或其业务的重要部分出售给与达能医用营养品公司（Danone Medical Nutrition）和/或纽迪希亚医疗器械有限公司竞争的第三方，卖方应在六（6）个月通知期内通知买方。

Buyer is entitled to terminate this contract by means of a written statement and with a notice period of six (6) months, if Seller has sold its enterprise and/or activities in whole or material part to a third party being a competitor of Danone Medical Nutrition and/ or Nutricia Medical Devices.
