On 15 February 2006, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 [1] by which the undertaking Talanx Aktiengesellschaft ("Talanx", Germany), controlled by HDI Haftpflichtverband der Deutschen Industrie V.a.G. ("HDI V.a.G.", Germany) acquire(s) within the meaning of Article 3(1)(b) of the Council Regulation control of all operating subsidiaries of Gerling Versicherungsgruppe ("Gerling", Germany) by way of purchase of shares.

1. In data 15.2.2006 è pervenuta alla Commissione la notifica di un progetto di concentrazione in conformità all'articolo 4 del regolamento (CE) n. 139/2004 del Consiglio [1]. Con tale operazione l'impresa Talanx Aktiengesellschaft ("Talanx", Germania) controllata da HDI Haftpflichtverband der Deutschen Industrie V.a.G. ("HDI V.a.G.", Germania) acquisisce ai sensi dell'articolo 3, paragrafo 1, lettera b), del regolamento del Consiglio il controllo di tutte le filiali operative dell'impresa Gerling Versicherungsgruppe ("Gerling", Germania) mediante: acquisto di azioni o quote.

(75) By letter of 3 July 2003, the Zentralverband der Deutschen Seehafenbetriebe (Federation of German sea port companies, hereinafter referred to as the Federation) transmitted its comments to the Commission. It takes the view that aid to maritime transport should not lead to distortion of intra-Community competition in the towage sector. The Federation points out that the competitiveness of Europe's ports depends to a large extent on towage costs. It maintains that it is desirable to foster competition among towage companies in the same port and between ports as this contributes to maintaining the competitiveness of the various ports. Nevertheless, however desirable this competition may be, it must take place under similar conditions of competition.

(75) Con lettera del 3 luglio 2003, la federazione delle imprese portuali tedesche (Zentralverband der Deutschen Seehafenbetriebe) ha comunicato alla Commissione le proprie osservazioni. La federazione ritiene che gli aiuti al trasporto marittimo non debbono essere tali da provocare distorsioni intracomunitarie di concorrenza nel settore dei servizi di rimorchio. Si sottolinea che la competitività dei singoli porti in Europa dipende in modo significativo dai costi di rimorchio. La federazione tedesca sostiene che lo sviluppo della concorrenza tra imprese che prestano servizi di rimorchio nello stesso porto e tra porti diversi è auspicabile in quanto contribuisce a conservare la competitività dei vari porti europei. Tuttavia, si fa notare che, per quanto auspicabile essa sia, questa competizione deve esplicarsi in condizioni di concorrenza omogenee.

(23) The Commission received comments from Kemper Fleischwarenfabrik (Nortrup), from the Bundesverband der Deutschen Fleischwarenindustrie e.V. (Bonn) and from an interested party that prefers to remain anonymous. All three parties argued that an increased turnover could only be realised by lowering prices which would be detrimental to the sector. The Bundesverband der Deutschen Fleischwarenindustrie e.V. pointed out that every year 1% of the meat-processing companies in Germany are forced to halt their activities. In this highly competitive market only the best undertakings can survive. By artificially keeping a company afloat, the interests of the sector are harmed. Moreover, the proposed new marketing strategy was the common strategy followed by almost all companies. According to the Bundesverband, such a strategy would not be successful without a large marketing budget, which was not available.

(23) La Commissione ha ricevuto le osservazioni della Kemper Fleischwarenfabrik (Nortrup), della Federazione delle industrie tedesche della carne (Bundesverband der Deutschen Fleischwarenindustrie e.V.) (Bonn) nonché di un terzo interessato che desidera rimanere anonimo. Tutte e tre le parti hanno sostenuto che un aumento del fatturato sarebbe stato possibile soltanto mediante una diminuzione dei prezzi, cosa che però avrebbe danneggiato il settore. La Federazione delle industrie tedesche della carne ha osservato che, ogni anno, l’1% delle imprese tedesche di lavorazione della carne è costretto a cessare la proprie attività. È stato sottolineato inoltre che in un simile mercato, fortemente concorrenziale, soltanto i migliori riescono a sopravvivere. Mantenendo artificialmente in vita un’impresa non si fa altro che ledere gli interessi del settore. Per di più, la strategia commerciale proposta è quella seguita da quasi tutte le imprese del settore. Secondo la Federazione, una strategia del genere richiede ingenti risorse che, però, non sono disponibili.
