Suppliers will be expected to sign and abide by the Danone Trading B.V. Sup- pliers Code of Conduct (‘Supplier Code of Conduct’), and to ensure that its provisions are respected by their own critical suppliers.

Danone Trading B.V. expects all its suppliers to respect the sustainability and social responsibility principles incorporated in this Suppliers Code of Conduct and confirm to Danone Trading B.V. their continued compliance with the Code of Conduct.

Danone Trading B.V. reserves the right to verify the suppliers’ per- formance in this respect.

In addition for this purpose, representatives from Danone Trading B.V. may make announced auditing vis- its to all factories producing our goods, and suppliers shall allow these repre- sentatives access to the factories.

Danone Trading B.V. or the third party audi- tor representing Danone Trading B.V. shall comply to the extent reasonably possible with the Supplier’s disclosed plant rules and regulations regarding safety and hygiene.

供应商行为守则构成供应商与达能贸易私人有限公司之间合同义务的一部分。如果某供应商违反我们的供应商行为守则的任何部分，达能贸易私人有限公司应给予该供应商一定的宽限期来采取补救措施纠正该违反供应商行为守则的行为，除非该供应商严重违反我们的供应商行为守则。在供应商严重违反我们的供应商行为守则的情况下，达能贸易私人有限公司有权自行决定选择给予该供应商一定的宽限期，也可选择立即终止与该供应商的业务关系。

The Suppliers Code of Conduct forms part of the contractual obligations between the supplier and Danone Trading B.V. If a supplier does not comply with any part of our Code of Conduct, Danone Trad- ing B.V. shall grant the Supplier a grace period to remedy the breach of the Suppliers Code of Conduct, except in case of a serious breach, when Danone Trading B.V. shall have the discretionary power to either grant the Supplier a grace period, or to immediately terminate the business relationship.

Suppliers shall keep Danone Trading B.V. informed about where each order is being produced.

在所有达能贸易私人有限公司已经给予某供应商宽限期，但自行判定该供应商在该宽限期内未采取全面的补救措施的情况下，达能贸易私人有限公司可立即终止与该供应商的业务关系，并保留要求该供应商赔偿所有直接或间接因该供应商未遵守本供应商行为守则而产生的损失和损害。

In all cases where Danone Trading B.V. has granted a grace period and Da- none Trading B.V. in its discretion finds the breach is not fully remedied during the grace period, Danone Trading B.V. may terminate the business relation- ship with the supplier with immediate effect whilst reserving the right to be in- demnified for all loss and damage arising directly or indirectly from any sup- plier’s non-respect of this Code of Conduct.

卖方承认：卖方外发给Nolato公司制造的“内部固位盘”的组件所包含的所有知识产权归达能贸易私人有限公司所有，因此卖方不得将此类组件用于买方需要的产品的制造之外的目的。

Seller recognizes that all Intellectual Property Rights in and to the component “Internal Retention Disk” sourced by Seller at company Nolato belong to Danone Trading B.V. Seller shall not use this component for any other purpose then the manufacturing of Buyer’s Products.
