如果卖方不了解有关DTBV拟定的用途的信息，卖方应事先以书面形式向DTBV申请获得此类信息。

In so far as the use intended by DTBV is unknown to the seller, seller shall obtain such information from DTBV in writing beforehand.

在不影响本合同或法律赋予卖方或买方终止本合同的任何权利的前提下，任何一方有权以发送书面申明的方式立即终止本合同，前提是另一方已被宣告破产，或申请延期偿债或停止经营。

Without prejudice to any other powers which Seller or Buyer may have by virtue of this contract or by law to terminate this contract, either is at any rate entitled to terminate this contract with immediate effect by means of a written statement, if the other has been declared bankrupt, has applied for a moratorium or winds up its business.

买方有权以书面申请有方式终止本合同。如果卖方计划将其公司和/或其全部业务或其业务的重要部分出售给与达能医用营养品公司（Danone Medical Nutrition）和/或纽迪希亚医疗器械有限公司竞争的第三方，卖方应在六（6）个月通知期内通知买方。

Buyer is entitled to terminate this contract by means of a written statement and with a notice period of six (6) months, if Seller has sold its enterprise and/or activities in whole or material part to a third party being a competitor of Danone Medical Nutrition and/ or Nutricia Medical Devices.

在不影响第7.1条的一般性的前提下，卖方出现下列任一情况，即认为卖方违约：卖方未履行任何适用本GTC’s的合同项下的义务，或未履行因此等合同而达成的进一步协议；卖方被宣告破产、申请延期偿债或停止经营，或将其业务或部分业务转让给第三方。

Without prejudice to the generality of Article 7.1., seller shall also be in default if: seller fails to fulfill any obligation in respect of a contract to which these GTC’s apply or in respect of further agreements ensuing from such contract; or seller has been declared bankrupt, has applied for a moratorium or winds up its business, or if it transfers its business or a part of its business to third parties.
