By its action, the applicant contests first of all the part of the decision that relates to the supposed overvaluation of NOA's assets when it was set up. The applicant pleads infringement of Article 87(1) and (3) EC and Article 253 EC (duty to state reasons). It submits that the "private investor" test was misapplied since the Hellenic Republic acted as any well-advised private businessman would act. It further contends that methodology and conclusions were mistaken in relation to the calculation of the amount of the supposed benefit. It also argues that the reasoning with regard to fulfilment of the conditions required in order for Article 87(1) EC to apply was deficient.

Ieškiniu ieškovė pirmiausia ginčija sprendimo dalį, susijusią su tariamai NOA įsteigimo laikotarpiu nustatyta per didele jos turto verte. Ieškovė nurodo, kad buvo pažeistos EB 87 straipsnio 1 ir 3 dalys ir EB 253 straipsnis (pareiga nurodyti sprendimo motyvus). Ji tvirtina, kad privataus investuotojo kriterijus taikytas klaidingai, nes Graikijos Respublika veikė kaip bet kuris gerai informuotas privatus verslininkas. Toliau ji nurodo, kad apskaičiuojant tariamą pelną taikyta klaidinga metodika ir padarytos klaidingos išvados. Ieškovė taip pat nurodo, kad nepagrįsta išvada, jog netenkinamos EB 87 straipsnio 1 dalies taikymo sąlygos.

-In its application, the applicant challenges, first, the part of the decision relating to the aircraft rental which it pays. It maintains that there is no State aid and that consequently the contested decision infringes Article 87(1) EC. According to the applicant, the Commission did not examine OA's choice to sublease aircraft on the basis of the criterion of a private businessman, nor did it examine whether the applicant obtained any benefit which it would not have obtained on the basis of market conditions. Moreover, it committed a manifest error of assessment in comparing the rental paid by the applicant with that paid by OA under the principal leasing agreement, rather than with that which the applicant would have to pay if it turned to another lessor.

Ieškovės nuomone, Komisija nenagrinėjo OA pasirinkimo subnuomoti lėktuvus privataus ūkio subjekto kriterijaus pagrindu ir taip pat nenustatė, ar ieškovė gavo naudos, kurios ji nebūtų gavusi veikdama rinkos sąlygomis, be to ji padarė akivaizdžią vertinimo klaidą, lygindama ieškovės mokamą nuomą su OA mokama nuoma, o ne su nuoma, kurią ieškovė mokėtų, jei kreiptųsi į kitą nuomotoją.

(100) The Court of Justice has consistently ruled that where a diligent businessman could have foreseen the adoption of a Community measure likely to affect his interests, he cannot rely on the principle of protection of legitimate expectations if the measure is adopted [44]. Given the similarities between the Exempt Companies and Qualifying Companies regimes, it is hard to see how a diligent operator could have anticipated that the two regimes would be subject to different State aid procedures. The differences between the two schemes, rather than being inherent in their design, reflect the practice of the Gibraltar authorities to require those offshore companies with a physical presence in Gibraltar to pay tax, albeit at a low level. It is therefore reasonable to assume that a conscientious businessman, acting in good faith, could legitimately have believed that by opting for the less generous Qualifying Companies regime rather than the manifestly legal (in State aid terms, existing) Exempt Companies regime, he would also enter a regime whose legality was not in doubt. Accordingly, the Commission concludes that an order for recovery would, in the exceptional circumstances of this case, be contrary to a general principle of Community law.

(100) Teisingumo Teismas nuolat teigė, kad kai darbštus verslininkas galės numatyti Bendrijos priemonės, galinčios paveikti jo interesus, priėmimą, jis negalės pasitikėti teisėtų lūkesčių principo apsauga, jeigu priemonė bus priimta [44]. Atsižvelgiant į atleistų bendrovių ir lengvatinių mokesčių bendrovių režimų panašumus, sunku pamatyti, kaip darbštus ūkio subjektas galėtų nujausti, kad dviems režimams bus taikomos skirtingos valstybės pagalbos procedūros. Dviejų sistemų skirtumai užuot buvę neatskiriami savo modeliu, parodo Gibraltaro Vyriausybės polinkį reikalauti iš ofšorinių bendrovių, kurios fiziškai veikia Gibraltare, mokėti nors ir nedidelius mokesčius. Todėl yra pagrįsta manyti, kad sąžiningas verslininkas, teisėtai gali tikėti, kad pasirinkdamas mažiau dosnų lengvatinių mokesčių bendrovių režimą nei akivaizdžiai teisėtą (valstybės pagalbos požiūriu esamą) atleistų bendrovių režimą, taptų režimo nariu, kurio teisėtumas neabejotinas. Todėl Komisija daro išvadą, kad nurodymas kompensuoti pagalbą, išskirtinėmis šio atvejo aplinkybėmis, prieštaraus bendram Bendrijos teisės principui.
