Am 9. Juli 2004 wurde der Kommission gemäß Artikel 3 Absatz 1 Buchstabe b der Verordnung (EWG) Nr. 4064/89 des Rates ein Zusammenschlussvorhaben gemeldet. Danach planen die Unternehmen EDP und ENI den Erwerb der gemeinsamen Kontrolle über das Unternehmen GDP.

On 9 July 2004, the Commission received notification, pursuant to Article 3(1)(b) of Council Regulation (EEC) No 4064/89, of a proposed merger under which the undertakings EDP and ENI would acquire joint control of the undertaking GDP.

(61) Auf Grund der oben genannten Faktoren würde der Zusammenschluss den wichtigsten potenziellen Wettbewerber von GDP ausschalten und weitere Marktzutrittsschranken im Markt für die Belieferung von Kleinkunden mit Gas errichten. Dadurch würde die beherrschende Stellung von GDP auf dem Stromeinzelhandelsmarkt verstärkt.

(61) On the basis of the abovementioned elements, the concentration would remove GDP’s main competitor and raise further the barriers to entry in the market for the supply of gas to small customers. It will thus strengthen GDP’s dominant position in the retail gas market in Portugal.

(77) Drei Verpflichtungszusagen stellen unmittelbar auf diese potenzielle Gefahr ab: i der Ausschluss des Erstablehnungsrechts von GDP in Bezug auf die TER-Gaslieferungen, ii die Aussetzung einiger Stimmrechte von EDP bei Turbogás für einen Zeitraum von drei Jahren und iii die Verleasung eines Teils der TER-Kapazitäten.

(77) Three commitments directly relate to this concern: (i) the elimination of GDP’s right of first refusal for the gas supply of TER, (ii) the suspension of some of EDP’s voting rights in Turbogás for three years and (iii) the partial lease of TER.

212. GDP ist in Portugal auf allen Ebenen der Gasversorgungskette tätig. Das Unternehmen verfügt über Exklusivrechte für die Einfuhr, Lagerung, Beförderung und Lieferung von Erdgas an Firmenkunden und beherrscht fünf von sechs lokalen portugiesischen Vertriebsgesellschaften (die sechste, Portgás, wird von EDP beherrscht).

212. GDP is active at all levels of the gas chain in Portugal. It has exclusive rights for import, storage, transportation and wholesale supply of natural gas and controls five of the six Portuguese local gas distribution companies (the sixth, Portgás, being controlled by EDP).
