Il prezzo complessivo degli immobili e delle partecipazioni ceduti è stato di circa 82.000 migliaia di euro oltre a IVA da corrispondersi per il 50% in denaro, mentre il rimanente 50% è stato liquidato secondo le seguenti modalità;

Alla luce di quanto sopra, il CRI – nel presupposto del raggiungimento degli obiettivi fissati dal piano accertato da parte dell’odierno CdA – ha ritenuto di proporre al CdA l’introduzione di un vincolo relativo alle “modalità e termini” con cui deliberare l’aumento di capitale sociale al servizio del Piano di Stock Options.

Given the above, the RIC – under the assumption that the objectives set by the plan are reached and verified by the board during today’s meeting – felt it was appropriate to recommend that the board introduce a limitation regarding the “procedures and conditions” by which to authorise the increase in share capital to service the stock option plan.

Riassume il contenuto del piano di stock option, precisando che lo stesso ha ad oggetto n.7.500.000 opzioni non cedibili per la sottoscrizione di un corrispondente quantitativo di azioni ordinarie della Società ad un prezzo di esercizio di Euro 4,547 (pari al valore delle azioni alla data della citata delibera) da esercitarsi secondo le modalità di seguito riportate:

A) il 20% delle opzioni assegnate potrà essere esercitato alla scadenza del primo anno dalla data di assegnazione delle opzioni con le modalità e nei termini stabiliti dal Consiglio di Amministrazione nella delibera di aumento di capitale adottata al servizio delle opzioni stesse e, in particolare, all’interno dei corrispondenti periodi di offerta delle azioni di nuova emissione come individuati nella stessa deliberazione di aumento di capitale.

A) 20% of the options awarded may be exercised at the end of the first year following the date of assignment of the options following the procedures and conditions established by the board of directors in its resolution to increase share capital in order to service the options themselves and, in particular, within the corresponding periods of offering newly issued shares, as also defined by the aforementioned resolution to increase share capital.

La nuova normativa definisce in modo più puntuale il concetto di “Informazione Privilegiata”, le caratteristiche necessarie per essere considerati “persone rilevanti”, innova le modalità e i termini delle comunicazioni alla Consob e al mercato ed infine istituisce il “Registro delle Persone che hanno accesso a Informazioni Privilegiate”.

Rende noto inoltre che l’OdV e si è dotato di un regolamento interno che disciplina le modalità di funzionamento, copia del documento viene distribuito ai Consiglieri e Sindaci.

d) di introdurre nel piano di stock option a favore dell’AD una clausola di lock up della durata di due anni sulle azioni attribuibili all’AD, affidando al CRI la delega per determinare eventuali modalità di funzionamento, nonché - a richiesta del beneficiario – eventuali deroghe (cessioni interfamiliari, a società controllate etc..).

d) to add to the MD’s stock options plan a two-year lock-up clause on the shares assigned to him, authorizing the RIC to determine both the procedures and – upon request of the beneficiary – any exceptions (transfers to family members, controlled companies, etc.).

Per quanto riguarda le modalità di pagamento del prezzo concordato, si segnala che una quota parte pari a 7.632 migliaia di Euro sarà liquidata entro 18 mesi dalla data dell’operazione.

With regard to the method of payment of the price agreed upon, we should note that a portion in the amount of €7,632 thousand is to be paid within 18 months of the date of the transaction.

Esistono alcuni piani di stock option che prevedono modalità di contabilizzazione in funzione delle caratteristiche del piano di tipo “equity settled” cioè piani in cui al beneficiario viene concesso il diritto di acquistare azioni della società ad un prezzo prefissato qualora specifiche condizioni siano soddisfatte.

There are a number of stock option plans that call for accounting methods based on the characteristics of the equity-settled plan, i.e. a plan in which the beneficiary is granted the right to purchase company shares at a preset price in the event specific conditions are met.

Il Gruppo sta inoltre esaminando la possibilità di proseguire nella crescita anche con modalità di tipo “orizzontale”, attraverso operazioni di carattere straordinario e integrazioni con altri operatori.

The Group is also considering ‘horizontal’ expansion opportunities, based on ad-hoc equity transactions and integration with other organizations.

27) Addivenendosi in qualsiasi tempo e per qualsiasi causa allo scioglimento della società, l'assemblea stabilisce le modalità della liquidazione e nomina uno o più liquidatori determinandone i poteri.

26) Addivenendosi in qualsiasi tempo e per qualsiasi causa allo scioglimento della società, i soci decideranno le modalità della liquidazione e nomineranno uno o più liquidatori determinandone i poteri.

Il Collegio arbitrale stabilirà a chi farà carico il costo dell’arbitrato o le eventuali modalità di ripartizione dello stesso.

In particolare, le caratteristiche dei prestiti in termini di durata e modalità di rimborso vengono negoziate in funzione della strategia elaborata per la valorizzazione e vendita dei singoli immobili e della loro capacità di generare flussi finanziari positivi.

In particular, the characteristics of the loans in terms of duration and payment methods are negotiated in function of the strategy defined for enhancing the value and selling the individual properties, as well as their ability to generate positive cash flows.

E' ammessa la raccolta del risparmio, nei limiti e con le modalità consentite dall'art. 11 del Testo Unico delle Leggi in materia bancaria e creditizia e dalla correlata normativa secondaria, ovvero con quei limiti e con quelle modalità previsti dalla normativa vigente pro-tempore.
