Il Consiglio di Amministrazione è nominato dall’Assemblea sulla base di liste presentate dagli Azionisti nelle quali i candidati devono essere elencati mediante un numero progressivo; le liste di candidati, sottoscritte dagli Azionisti che le presentano, devono essere depositate presso la sede della Società almeno quindici giorni prima di quello fissato per l’assemblea in prima convocazione e di ciò sarà fatta menzione nell’avviso di convocazione.

The Board of Directors shall be appointed by the Shareholders’ meeting from the list presented by the shareholders in which the candidates shall be listed in progressive numeric order; the list of candidates, signed by the Shareholders who present them, must be filed at the Company’s registered offices at least fifteen days before the date fixed for the shareholders’ meeting in first call, and this matter shall be mentioned in the notice of the meeting’s convocation.

Il Consiglio di Amministrazione è nominato dall’Assemblea sulla base di slatee presentate dagli Azionisti nelle quali i candidati devono essere elencati mediante un numero progressivo; le slatee di candidati, sottoscritte dagli Azionisti che le presentano, devono essere depositate presso la sede della Società almeno quindici giorni prima di quello fissato per l’assemblea in prima convocazione e di ciò sarà fatta menzione nell’avviso di convocazione.

The Board of Directors shall be appointed by the Shareholders’ meeting from the slate presented by the shareholders in which the candidates shall be slateed in progressive numeric order; the slate of candidates, signed by the Shareholders who present them, must be filed at the Company’s registered offices at least fifteen days before the date fixed for the shareholders’ meeting in first call, and this matter shall be mentioned in the notice of the meeting’s convocation.

Il Vice Presidente fa presente che la semplice introduzione di limiti alla cessione della azioni avrebbe rilevanza sotto l’aspetto finanziario dei beneficiari; in base al Regolamento, infatti, il prezzo delle azioni sottoscritte deve essere pagato immediatamente e l’eventuale divieto per i beneficiari di rivenderle potrebbe creare agli stessi il problema di procurarsi i necessari mezzi finanziari.

The Deputy Chairman notes that the mere introduction of share transfer limits would be of financial significance to the beneficiaries, as the rules of the plan state that the price of the shares purchased must be paid immediately, and any prohibition for the recipients to resell them could create problems in raising the necessary funds.

Sotto tale profilo, il CRI sta valutando sia l’opportunità di introdurre un “holding period” minimo che di stabilire le scadenze scaglionate alle quali le azioni possono essere sottoscritte.

As such, the RIC is assessing the possibility both of introducing a minimum holding period and of establishing staggered timeframes at which the options may be exercised.
