Board of Directors in office

I nuovi amministratori così nominati scadranno insieme con quelli in carica all'atto della loro nomina.

The term of office of the new directors so appointed shall lapse with that of the directors in office at the time of their appointment.

Ai sensi dell’art. 2386, primo comma, Codice Civile, l’Amministratore così nominato resterà in carica sino a questa prossima Assemblea.

Pursuant to Article 2386(1) of the Italian civil code, the director so appointed is to remain in office until this meeting of shareholders.

di confermare nella carica di Amministratore, fino alla naturale scadenza del Consiglio di Amministrazione, il Signor <PROTECTED> <PROTECTED>;

compensi professionali corrisposti allo <PROTECTED> <PROTECTED> per le prestazioni di consulenza civilistica oltre che agli emolumenti stabiliti per la carica quale componente del Consiglio di Amministrazione per un totale di 48 migliaia di Euro;

professional fees paid to <PROTECTED> <PROTECTED> for professional legal advisory services provided and remuneration as member of the board of directors totalling €48 thousand;

dei compensi professionali corrisposti allo <PROTECTED> <PROTECTED> per le prestazioni di consulenza civilistica oltre che agli emolumenti stabiliti per la carica quale componente del consiglio di amministrazione per un totale di 33 migliaia di Euro.

Gli Amministratori possono anche non essere soci, restano in carica sino a revoca o dimissioni per il periodo determinato dai soci al momento della nomina e sono rieleggibili.

The Directors may not necessarily be shareholders, they remain in office until their resignation or revocation for the period set by the shareholders on their appointment, and they may be re-elected.

Per la validità delle deliberazioni del Consiglio di Amministrazione è necessaria la presenza della maggioranza degli Amministratori in carica ed il voto favorevole della maggioranza assoluta dei presenti.

In order for resolutions to be adopted by the Board of Directors, it is necessary that meetings be attended by a majority of the directors in office and that the absolute majority of all those in attendance vote in favor.

Per la validità delle deliberazioni del Consiglio di Amministrazione è necessaria la maggioranza degli Amministratori in carica e le deliberazioni sono assunte con la maggioranza assoluta dei voti dei presenti.

All'articolo 11 è stato chiarito che gli Amministratori possono anche non essere soci e che la loro carica dura 3 esercizi (anzichè 3 anni), in ossequio alla modifica legislativa apportata.

Under Article 11, it was more clearly specified that directors do not need to be shareholders and that their terms last through the end of the fiscal year (rather than simply the end of the year), in accordance with changes in applicable law.

La decisione si ritiene adottata quando risulti approvato per iscritto un unico documento, o più documenti che contengano lo stesso testo, da parte della maggioranza degli Amministratori in carica.

The decision is considered to be adopted if a single document, or more than one document containing the same text, is approved in writing by the majority of the acting Directors.

Ove il numero degli amministratori sia stato determinato in misura inferiore al massimo previsto, l'Assemblea, durante il periodo di permanenza in carica del Consiglio, potrà aumentare tale numero.

If the number of directors is lower than the maximum allowed, the shareholders may increase this number while the Board of Director is in office.

Gli amministratori durano in carica per un massimo di tre esercizi, secondo le deliberazioni dell'Assemblea che li nomina, e scadono alla data dell'Assemblea convocata per l'approvazione del bilancio relativo all'ultimo esercizio della loro carica.

Directors shall serve for a period of up to three years, in accordance with the shareholder resolution which nominates them, with the term expiring upon the approval of the financial statements for the last fiscal year in office.

In caso di assenza o impedimento del Presidente, le funzioni vengono svolte dal vice presidente; in caso di assenza o impedimento di entrambi, dall'Amministratore con maggiore anzianità di carica o, in caso di pari anzianità di carica, dal più anziano di età.

In case the Chairman is absent or in any way prevented from acting, his duties shall be discharged by the deputy chairman; in case both are absent or in any way prevented from acting, such duties shall be discharged by the most senior director or, in case of equal seniority, by the director who is senior in age.

In caso di assenza o impedimento del Presidente, le funzioni vengono svolte da un vice presidente; in caso di assenza o impedimento di entrambi, dall'Amministratore con maggiore anzianità di carica o, in caso di pari anzianità di carica, dal più anziano di età.

If the Chairman is absent or in any way prevented from acting, his duties shall be discharged by a deputy chairman; if both are absent or in any way prevented from acting, their duties shall be discharged by the most senior director or, in case of equal seniority, by the director who is senior in age.

Gli altri compensi si riferiscono agli emolumenti maturati per la carica rispettivamente di Amministratore Unico e Consigliere delle società controllate <PROTECTED> S.r.l. e <PROTECTED> S.r.l.

Other compensation relate to the assignment as Chief Executive Officer and Counsel of <PROTECTED> S.r.l. and <PROTECTED> S.r.l. controlled entities.

12) La società è amministrata da un Amministratore Unico oppure da un Consiglio di Amministrazione composto da un numero di componenti variabile tra un minimo di due e un massimo di cinque, anche non soci, secondo la deliberazione dei soci che nominandoli ne determineranno il numero e la durata in carica.

12) The company shall be managed by a Single Director or by a Board of Directors consisting of two to five directors, who need not be members, pursuant to the members’ resolution which, together with the appointment, sets the number and the term of office.
