Con riferimento al primo punto all’ordine del giorno, il Presidente, dopo aver dato atto della nomina dei nuovi membri dell’organo amministrativo da parte dell’Assemblea dei soci tenutasi nella data odierna, ricorda che, avvalendosi delle facoltà previste dall’art 14 dello Statuto sociale, il Consiglio di Amministrazione può nominare uno o più amministratori delegati.

With regard to the first item on the agenda, after having acknowledged the appointment of the new members to the board by the shareholders in their meeting of today, the chairman notes that the board of directors, under Article 14 of the articles of association, may appoint one or more executive directors.

L’AD da atto, sulla base di un documento distribuito ai presenti ed acquisito agli atti, che sono stati raggiunti gli obiettivi in termini di earning per share previsti dal Regolamento del Piano di Stock Options dei dipendenti di <PROTECTED> S.p.A. e delle sue società controllate approvato in data 8 aprile 2005.

The MD confirms that, based on a document distributed to all those present and filed with the corporate documents, the objectives in terms of earnings per share established by the rules of the stock option plan for employees of <PROTECTED> S.p.A. and its subsidiaries, as approved on 8 April 2005, have been reached.

On November 25, 2002 the merger was agreed of T.C. <PROTECTED> <PROTECTED> <PROTECTED> 3 S.r.l. and C.A.E.S. S.r.l. into <PROTECTED> S.r.l. There was no exchange of equity associated with the merger, as the merged companies were wholly-owned subsidiaries of <PROTECTED> S.r.l. prior to the merger.
