Sul punto, l’Amministratore Delegato rende noto che il Comitato Esecutivo del 9 luglio scorso ha valutato positivamente l’operazione di acquisizione del portafoglio immobiliare, autorizzando, nei limiti delle proprie competenze, l’acquisto parziale della partecipazione detenuta da <PROTECTED> <PROTECTED> <PROTECTED> s.àr.l. nel capitale sociale della C.C.P. <PROTECTED> s.àr.l. Cede la parola al dott. <PROTECTED>, il quale illustra le caratteristiche di ciascuno degli immobili, con particolare riferimento alla superficie (estensione), ubicazione, alla destinazione d’uso, allo stato manutentivo degli stessi.

On this point, the Managing Director told those present that the Executive Committee of July 9th 2005 favourably evaluated the operation for acquiring the real estate portfolio, authorising – within the extent of its powers – the partial acquisition of the investment held by <PROTECTED> <PROTECTED> <PROTECTED> s.àr.l. in the share capital of C.C.P. <PROTECTED> s.àr.l. He then handed over to Dr <PROTECTED> who described the features of each of the properties, particularly referring to their surface area (extension), position, the type of use and their state of repair.

Rende noto che la valutazione effettuata per determinare il prezzo si basa sul valore di mercato del Patrimonio Immobiliare risultante dalla perizia <PROTECTED> al 31 dicembre 2004 e tiene conto delle rinunce agli impegni a carico di <PROTECTED>, del riconoscimento a quest’ultima del premio di Euro 2 milioni, dell’effetto dei contratti di finanza derivata relativi al Patrimonio Immobiliare (dal quale sarebbero esclusi gli immobili destinati ad uso ufficio ceduti in data 30 settembre 2005), nonché dei costi di bonifica che sono stati stimati in Euro 7 milioni e, a seguito della sottoscrizione degli accordi, resteranno a carico della <PROTECTED> <PROTECTED>.

He then notes that the calculation of the price is based on the market value of the Property Portfolio as determined by the <PROTECTED> appraisal as at 31 December 2004 and takes into account the waiver of the <PROTECTED> commitments, the payment to <PROTECTED> of the €2 million premium, the effect of the derivative financing contracts related to the Property Portfolio (which would not include the office properties sold on 30 September 2005), and the estimated reclamation costs of €7 million which, following the signing of the agreements, will remain the responsibility of <PROTECTED> <PROTECTED>.
