la variazione è imputabile al consolidamento della società <PROTECTED> <PROTECTED>.

Il giorno 29 settembre 2005, alle ore 10.00, presso gli uffici di <PROTECTED> S.p.A., a Milano, in <PROTECTED> <PROTECTED> di <PROTECTED>  1, a seguito di regolare convocazione, si è riunito il Consiglio di Amministrazione della Società per discutere e deliberare sui seguenti argomenti posti all’ordine del giorno:

La voce è costituita da mobili, macchine elettroniche ed autovetture e presenta un incremento di 13 migliaia di euro dovuto principalmente alle nuove acquisizioni di personal computer e mobili destinati agli uffici della società .

This item is made up of furniture, electronic equipment, and motor vehicles and increased by €13 thousand due primarily to the purchase of personal computers and furniture for the companies offices.

La voce è costituita da mobili, arredi, autovetture e macchine elettroniche e presenta un incremento di 316 migliaia di Euro dovuto principalmente alle nuove acquisizioni di personal computer, di materiale elettronico diverso e di mobili e arredi destinati agli uffici della sede della Società.

The line item includes furniture, fittings, automobiles and electronic machinery totalling a € 316 thousand increase primarily due to the purchase of new personal computers, electronic appliances and furniture and fittings for Company offices.

Il Presidente, dopo aver ringraziato a nome personale e del Consiglio entrambi gli Amministratori per l’attività svolta nell’interesse della Società, propone di invitare il Consigliere <PROTECTED> <PROTECTED> <PROTECTED> a ritirare le proprie dimissioni, tenuto conto della cessazione dei suoi rapporti con il Gruppo <PROTECTED> RE e della fattiva collaborazione con l’Amministratore Delegato, nonché di richiedere allo stesso, essendo presente presso gli uffici della Società, di partecipare alla odierna riunione.

The Chairman thanked both Directors for their work done for the Company’s benefit, both on his own behalf and that of the Board, and then proposed asking Director <PROTECTED> <PROTECTED> <PROTECTED> to withdraw his resignation, considering that his relations with the <PROTECTED> RE Group have come to an end and in view of his effective collaboration with the Managing Director, and also to ask him, since he was present at the Company’s offices, to take part in this Meeting.

Nel segmento uffici è stata realizzata la joint venture con <PROTECTED> <PROTECTED> <PROTECTED>, appartenente al gruppo <PROTECTED>, attraverso la costituzione della società <PROTECTED> <PROTECTED> nella quale sono stati fatti confluire immobili ad uso uffici per un valore complessivo di 175 milioni di Euro.

In the office segment, a joint venture has been established with <PROTECTED> <PROTECTED> <PROTECTED>, a member of the <PROTECTED> group, through the establishment of the company <PROTECTED> <PROTECTED>, which has received office properties with a total value of €175 million.

Interviene il Dott. <PROTECTED>, il quale esprime apprezzamento per i chiarimenti ricevuti dagli uffici della Società in merito alla semestrale e per il lavoro da questi ultimi svolto, anche in considerazione delle incertezze interpretative legate all’applicazione dei nuovi principi contabili.

Mr. <PROTECTED> takes the floor to express his appreciation for the clarification provided by the company regarding the half-year report and for the work done, particularly in consideration of the uncertainty surrounding the interpretations involved in applying the new accounting standards.

Nel segmento uffici è stata realizzata la joint venture con <PROTECTED> <PROTECTED> <PROTECTED>, fondo di investimento lanciato dal gruppo <PROTECTED> a luglio 2004, attraverso la costituzione della società <PROTECTED> <PROTECTED> nel quale sono stati fatti confluire immobili ad uso uffici per un valore complessivo di 175 milioni di Euro.

In the office segment, a joint venture has been established with <PROTECTED> <PROTECTED> <PROTECTED>, an investment fund launched by the <PROTECTED> group in July 2004 through the establishment of <PROTECTED> <PROTECTED> seeded by office properties with a total value of €175 million.

La società è stata costituita mediante scissione parziale della società <PROTECTED> <PROTECTED> <PROTECTED> Srl con attività di valorizzazione delle aree edificabili di proprietà.

It was formed from the partial spin-off of <PROTECTED> <PROTECTED> <PROTECTED> S.r.l. and is active in redeveloping the areas it owns.

In tal caso il CDA potrebbe delegare al CE di fissare le condizioni e garanzie cui subordinare la concessione dei prestiti (eventualmente con immissione delle azioni in depositi vincolati presso la società o una banca).

In such a case, the board could have the Executive Committee establish the conditions and guarantees for granting the loans (potentially with the deposit of the shares in a time-limited account with the company or with a bank).
