(16) Gaidot labvēlīgu Komisijas lēmumu, 2001. gada 27. decembrīCockerill Sambre veica iemaksu naturālā formā, kuras tīrā vērtība bija 35 miljoni euro, un Duferco ieguldīja 25 miljonus euro skaidrā naudā. Carsid sākuma kapitāls līdz ar to sasniedza 60 miljonus euro.

(16) On 27 December 2001, while awaiting a favourable decision by the Commission, Cockerill Sambre made a contribution in kind, whose net value was set at EUR 35 million, and Duferco made a cash contribution amounting to EUR 25 million. Carsid’s initial capital was consequently set at EUR 60 million.

(66) Kas attiecas uz gaidāmo peļņu no Sogepa investētā kapitāla, Komisija procedūras uzsākšanas lēmumā izteica šaubas par šā ieguldījuma atbilstību privāta investora principam tirgus ekonomikā, it īpaši dēļ situācijas metalurģijas tirgū, kā arī Duferco grupas uzņēmumu un pat Cockerill Sambre situācijas dēļ.

(66) As regards the expected return on the capital invested by Sogepa, in its decision to initiate the procedure, the Commission expressed doubts on whether that contribution was in line with the principle of a market economy investor, notably because of the situation on the steel market and the situation of the companies in the Duferco group and even Cockerill Sambre.

(20) Carsid rīcībā būs sagatavju ražošanas nozares, proti, integrētā lietuve ar ražošanas jaudu 1,8 miljoni tonnu gadā – paredzēta Duferco, un elektriskā nozare, kuras ražošana tiks sadalīta starp Cockerill ([…]) un Duferco valoņu uzņēmumiem ([…]). Katrā ziņā, pārejas periodā […] lielākā Carsid ražošanas daļa ir paredzēta Cockerill Sambre.

(20) Carsid will have two slab production plants: an integrated casting plant with an annual capacity of 1,8 million tonnes which will serve Duferco, and an electric plant whose output will be shared between Cockerill ([…]) and the Walloon companies belonging to Duferco ([…]). However, during a transitional period […], most of Carsid’s output will serve Cockerill Sambre.

(7) AS Usinor Belgium ir Beļģijas Usinor grupas akciju savienība. Līdz 2001. gada beigām franču Usinor grupa bija viena no galvenajām Eiropas metalurģijas grupām. 2001. gadā tās apgrozījums pasaules līmenī sasniedza 14523 miljonus euro. Ziņojuma dienā Usinor piederēja 75% Cockerill Sambre. 2002. gada sākumā Usinor grupa apvienojās ar Luksemburgas grupu Arbed un Spānijas grupu Aceralia, tā izveidojot pirmo pasaules tērauda ražotāju – Arcelor grupu.

(7) Usinor Belgium SA is a holding company of the Usinor group in Belgium. The French Usinor group was, until the end of 2001, one of the main European steel groups. Its turnover in 2001 amounted to EUR 14523 million worldwide. At the time of the notification, Usinor held 75% of Cockerill Sambre. At the beginning of 2002, the Usinor group merged with the Luxembourg group Arbed and the Spanish group Aceralia, creating the group Arcelor, the world’s largest steel producer.

(22) Carsid ražos vienīgi Duferco un Arcelor grupas uzņēmumiem un nepiedalīsies atvērtajā tirgū. Šim nolūkam Cockerill Sambre un Duferco grupa ir parakstījušas ilglaicīgas piegādes līgumus ar Carsid, kas ir spēkā līdz […] (Cockerill Sambre) vai […] (Duferco). Tomēr Cockerill Sambre varēs tos pārtraukt pirmo reizi […] beigās. Kā arī, ja Cockerill Sambre īsteno savas tiesības izstāties no Carsid akcionāriem, gan Cockerill Sambre, gan Duferco var pārtraukt līgumu darbību […].

(22) Carsid will produce exclusively for the companies in the Duferco group and Arcelor and will not operate on the open market. Accordingly, Cockerill Sambre and the Duferco group have signed long-term supply contracts with Carsid covering the period up to the end of […] (Cockerill Sambre) and […] (Duferco). However, Cockerill Sambre has an initial opportunity to terminate the contract at the end of […]. Furthermore, if Cockerill Sambre exercises its right to withdraw from the Carsid shareholders, both Cockerill Sambre and Duferco can terminate the contracts on […].

(17) Iemaksa naturālā formā, ko veica Cockerill Sambre, tika ietverta ražošanas nozarē, kas visumā atbilst Šarleruā integrētajai ražošanas līnijai un Marsinelas elektriskajai ražošanas līnijai. Šo iekārtu ekspertīzi 2001. gada oktobrī veica neatkarīgs uzņēmums, kas noteica lietojamo vērtību […] miljoni euro. Cockerill arī ieguldīja rezerves […] miljonu euro vērtībā un pasīvu, kas sastāvēja no noguldījumiem ([…] miljoni euro), algu parādiem ([…] miljoni euro) un parādiem par piegādi ([…] miljoni euro).

(17) Cockerill Sambre’s contribution in kind consisted of plant broadly corresponding to the integrated production line at the Charleroi site and the electric production line at the Marcinelle site. This plant was valued by an independent company in October 2001, which put its value in use at EUR […] million. Cockerill also contributed stock valued at EUR […] million and liabilities consisting of provisions (EUR […] million), unpaid wages (EUR […] million) and debts to suppliers (EUR […] million).

(14) Pēc Usinor Sacilor prezidenta paziņojuma 2001. gada februārī par nodomu pārtraukt Cockerill Sambre Šarleruā karstās līnijas darbību, starp Usinor-Cockerill Sambre, Duferco grupu un Sogepa sākās diskusijas, kuru galvenais mērķis bija izveidot kopīgu sagatavju ražošanas savienību, kuras ražošanas aprīkojums sastāvētu no Cockerill Sambre pašreizējām iekārtām Šarleruā, kuras papildinātu aprīkojums no Duferco Clabecq (lietuve) [8]. Šīs diskusijas beidzās ar vienošanās protokolu par Carsid izveidi, kas tika parakstīts 2001. gada 12. oktobrī.

(14) Following the announcement by the Chairman of the Usinor Sacilor group in February 2001 that he intended to close down Cockerill Sambre’s hot-rolling line in Charleroi, talks were entered into between Usinor-Cockerill Sambre, the Duferco group and Sogepa primarily with a view to setting up a joint venture to produce slabs based on Cockerill Sambre’s existing mill in Charleroi together with the plant owned by Duferco Clabecq (continuous casting) [8]. The talks culminated in a memorandum of understanding on the formation of Carsid, signed on 12 October 2001.

(45) Kas attiecas uz ieguldīto iekārtu vērtību, beļģu institūcijas uzskata, ka tās veikusi neatkarīga ekspertīze. Attiecībā tieši uz Cockerill Sambre ieguldījumu, beļģu Savienību kodeksa 444. pants pieprasa revidentkomisāra nozīmēšanu. Attiecībā uz Duferco Clabecq iegādātā aprīkojuma vērtību, papildus tam, ka ekspertīzē noteikto vērtību pieņēma Arcelor, jauna lietuve, līdzīga tai, kas ir Duferco Clabecq, maksātu 60 miljonus euro un tās uzstādīšana prasītu 18 līdz 24 mēnešus, tai pat laikā no Duferco Clabecq to varētu pārvest un uzstādīt 12 mēnešu laikā.

(45) As regards the value of the equipment contributed, the Belgian authorities consider that they were valued by independent expert assessments. As regards more particularly the contribution of Cockerill Sambre, Article 444 of the Belgian Commercial Code requires the appointment of an auditor. As far as the value of the equipment purchased from Duferco Clabecq is concerned, apart from the fact that the value established in the expert assessment was accepted by Arcelor, a new continuous casting plant similar to that of Duferco Clabecq would currently cost EUR 60 million and its construction would take 18 to 24 months, whereas that of Duferco Clabecq can be transferred and set up in 12 months.

(26) Kausēšanas nozares fiksētās izmaksas segs Duferco, un elektriskās nozares fiksētās izmaksas līdz […] tonnām segs Cockerill Sambre. Kad elektriskās nozares jauda sasniegs 1 miljonu tonnu, tikai […] segs Cockerill, pārējo segs Duferco. Tai pat laikā partneris, kas izmanto visu vai daļu no jaudas, kas paredzēta otrai pusei, sedz fiksētās izmaksas proporcionāli šai izmantošanai. Mainīgās izmaksas katra puse segs atbilstoši tai paredzētajai ražošanai. Līgumā noteikts, ka elektriskās nozares darbaspēks galvenokārt mainās arī daļēja bezdarba dēļ un iespēju robežās izmantojot darbiniekus liešanas nozarē.

(26) The fixed costs of the casting plant will be borne by Duferco, and the fixed costs of the electric plant will be borne by Cockerill Sambre up to a capacity of […] tonnes. When the capacity of the electric plant reaches 1 million tonnes, only […] will be borne by Cockerill, the rest being borne by Duferco. However, if one partner uses some or all of the capacity intended for the other party, it will bear the fixed costs in proportion to its use. Variable costs will be borne by each party in relation to the output which is allotted to it. It is established in the contract that the workforce of the electric plant will essentially vary through use of layoffs and, where possible, through use of staff in the casting plant.

(5) Valoņu vadības un dalības savienība (Sogepa) ir valoņu reģiona akciju kompānija, kas cita starpā ir pārņēmusi Valoņu metalurģijas savienības (SWS). Metalurģijas nozarē tās mērķis ir valoņu vispārējās ekonomiskās politikas ietvaros sekmēt uzņēmumu izveidi vai paplašināšanos, kā arī veicināt valsts industriālo darbību. Ziņojuma dienā Sogepa bija 25% dalība beļģu metalurģijas uzņēmuma Cockerill Sambre kapitālā. Tai bija arī 25% kapitāla turētāja Duferco Clabecq (skatīt šā lēmuma 9. punktu), Duferco La Louvière (skatīt 11. punktu) un Duferco Belgium (skatīt 12. punktu).

(5) The Société wallonne de gestion et de participations (Sogepa) is a Walloon Region holding company which, amongst other things, took over the activities of the Société wallonne pour la sidérurgie (SWS). In the steel industry, its object, as part of Wallonia’s general economic policy, is to promote the creation or expansion of companies and to promote public industrial initiatives. At the time of notification, Sogepa had a 25% stake in the capital of the Belgian steel producer Cockerill Sambre. It also held 25% of the capital of Duferco Clabecq (see recital 9 of this Decision), Duferco La Louvière (see recital 11) and Duferco Belgium (see recital 12).

(6) 2001. gada 17. decembrī Sogepa dalība Cockerill Sambre tika mainīta uz 8% dalību Usinor kapitālā, kas savukārt 2002. gada sākumā pārvērtās par 4,25% dalību Arcelor kapitālā (skatīt 7. punktu). Sogepa dalība Duferco Clabecq tika samazināta līdz 5,91% pēc kapitāla samazināšanas operācijas pārņemot zaudējumus, kas tika veikta 2002. gada 8. augustā un kam sekoja kapitāla palielināšana, ko veica Duferco Investment. Tāpat Sogepa dalība Duferco La Louvière praktiski izbeidzās pēc kapitāla samazināšanas, pārņemot zaudējumus, kas tika veikta 2001. gada 8. novembrī un kam sekoja kapitāla palielināšana, ko veica Duferco Belgium.

(6) Sogepa’s holding in Cockerill Sambre was exchanged on 17 December 2001 for an 8% holding in the capital of Usinor, which, in turn, became, at the beginning of 2002, a 4,25% stakeholder in the capital of Arcelor (see recital 7). Sogepa’s holding in Duferco Clabecq was reduced to 5,91% following the operation to reduce capital through absorption of losses carried out on 8 August 2002 and the ensuing capital increase carried out by Duferco Investment. Similarly, Sogepa’s direct holding in Duferco La Louvière virtually disappeared following the capital reduction through loss absorption carried out on 8 November 2001 and the ensuing capital increase carried out by Duferco Belgium.
