(113) Tirante o capital nominal de 187,5 milhões de DEM, a transferência do património do WBK não forneceu inicialmente liquidez ao LBB. O LBB incorria, por isso, em custos de financiamento adicionais equivalentes ao capital se tivesse de obter nos mercados financeiros os fundos necessários para tirar pleno partido das oportunidades comerciais abertas pelo capital próprio adicional, ou seja, para conseguir um aumento dos activos ponderados pelo risco equivalente a 12,5 vezes o montante do capital (ou manter a esse nível os activos existentes) [32].

(113) Apart from the nominal capital of DEM 187,5 million, the transfer of WBK's assets did not provide LBB with initial liquidity. LBB therefore faced additional funding costs equal to the amount of the capital if it was to raise the necessary funds on the financial markets to take full advantage of the business opened up by the additional capital, i.e. to expand risk-adjusted assets by 12,5 times the capital amount (or to maintain existing assets at that level) [32].

(75) O WestLB e o LBB, contrariamente ao afirmado pela BdB e o BV, não eram de modo algum comparáveis entre si. Tirante isso, seria inapropriado, tendo em vista o procedimento pendente (na altura) no caso WestLB, falar da metodologia aí aplicada como um método comprovado, como o faz a BdB. A questão sobre até que ponto o capital próprio indicado no balanço deve ser considerado como uma vantagem financeira não se levanta aqui, contrariamente ao caso WestLB, uma vez que não é necessário distinguir entre partes do capital reconhecidas e não reconhecidas. Não houve um auxílio no contexto do aumento de capital próprio indicado no balanço nem das reservas transferidas (ver considerandos 40 a 64).

(75) Contrary to what was argued by the BdB, it was undisputed and clearly stated in the decision initiating the procedure that, besides the use of the special-purpose reserve's guarantee function by LBB, the transfer of WBK also increased LBB's equity capital shown in the balance sheet by DEM 187,5 million and that this amount had been recognised as liable equity capital for supervisory purposes. The question of the extent to which equity capital shown in the balance sheet conferred a financial advantage did not arise here, unlike in WestLB, since it was not necessary to distinguish between recognised and unrecognised parts of the capital. No aid was involved in the increase in equity capital shown in the balance sheet or the transferred reserves (see paragraphs 40 to 64).

(14) O Tribunal anulou a decisão da Comissão por motivos de justificação insuficiente de dois pontos relativos ao cálculo do montante da remuneração apropriada. Em primeiro lugar, a anulação da decisão baseou-se nas razões apontadas para o montante da remuneração para o capital social líquido como ponto de partida para o cálculo, em relação a que a Comissão tinha fixado uma taxa de 12% p.a. (líquida de impostos sobre as sociedades e antes de impostos do investidor). Em segundo lugar, baseou-se nas razões apontadas para o montante do prémio sobre esta remuneração, em relação a que a Comissão tinha fixado uma taxa de 1,5% p.a. (líquida de impostos sobre as sociedades e antes de impostos do investidor). Tirante isso, o Tribunal confirmou na íntegra a decisão da Comissão.

(14) The Court annulled the Commission decision on the ground of insufficient justification of two points regarding calculation of the appropriate remuneration. Firstly, the annulment was based on the reasons stated for the remuneration for liquid equity capital as the starting point for the calculation, for which the Commission had set a rate of 12% per annum (after corporation tax and before investor taxes). Secondly, it was based on the reasons stated for the top-up for this remuneration, for which the Commission had set a rate of 1,5% per annum (after corporation tax and before investor taxes). These points apart, the Court confirmed in full the Commission decision.
