如果因对方延迟履行或在履行其在本协议项下的义务过程中有违约行为导致损害或使本协议终止，则任何一方均不承担责任，但前提是：导致该延迟履行义务或违约行为的原因超出该方合理控制范围且该方无过错或疏忽。
neither party shall be liable in damages, or shall be subject to termination of this agreement by the other party, for any delay or default in performing any obligation hereunder if that delay or default is due to any cause beyond the reasonable control and without fault or negligence of that party.
