abweichend vom vorschlag der kommission gilt dieser grundsatz dann nicht, wenn das für die neue gesellschaft maßgebliche recht nicht mindestens den gleichen umfang an mitbestimmung vorsieht, wie er in den beteiligten gesellschaften existierte, oder wenn das für die neue gesellschaft maßgebende recht für die arbeitnehmer in betrieben der neuen gesellschaft, die sich in anderen mitgliedsstaaten befinden, nicht den gleichen anspruch auf ausübung von mitbestimmungsrechten vorsieht wie für die arbeitnehmer im sitzstaat dieser gesellschaft. in diesen fällen ist, wenn in einer der an der verschmelzung beteiligten gesellschaften durchschnittlich mehr als 500 arbeitnehmer beschäftigt waren und in dieser gesellschaft ein system der arbeitnehmermitbestimmung galt, die arbeitnehmer- mitbestimmung in der neu gegründeten gesellschaft gegenstand von verhandlungen nach dem vorbild des se-statuts und der se-richtlinie. danach wird ein besonderes verhandlungsgremium eingesetzt, das ein mitbestimmungsmodell festlegen soll. kommt keine einigung zustande, greift die auffanglösung, wonach in der neuen gesellschaft das weitreichendste mitbestimmungsmodell unter den sich verschmelzenden gesellschaften eingeführt wird, wenn die mitbestimmung vor der verschmelzung für mindestens ein drittel der arbeitnehmer insgesamt galt.
in principle, a company created by a cross-border merger is subject to the employee participation regime of the state in which this new company is based. unlike in the commission's proposal, this principle does not apply where the national law applicable to the new company fails to provide at least the same level of participation as operated in the relevant merging companies or does not provide for employees of establishments of the new company situated in other member states the same entitlement to exercise rights as those employees employed in the member state where the registered office of this company is situated. in these cases, if on average more than 500 employees were employed in one of the relevant merging companies and this company had a system of employee participation, employee participation in the newly formed company shall be the subject of negotiations on the model of the se statute and the se directive. a special negotiating body is to be set up to determine a model for employee participation. if no agreement is reached, the standard rules shall apply under which the most far-reaching participation model of the merging companies is introduced in the new company, providing at least a third of employees in total enjoy participation prior to the merger.
