(23) despite the 2002 rescue plan, the financial and economic situation of sncm declined sharply in 2004 and 2005. this situation led the firm's management, in association with the state as shareholder, to begin searching in january 2005 for a private partner with a view to implementing emergency measures. a recapitalisation agreement for sncm was reached on 13 october 2005 with private investors (butler capital partners and veolia transport (connex)). in order to allow for the part privatisation of sncm, cgmf apparently subscribed to the entirety of a capital increase at sncm worth eur 142,5 million prior to the asset sale and assumed responsibility for part of sncm's commitments in health insurance contributions for its retirees, valued at eur 15,5 million, giving a total of eur 158 million. a second recapitalisation of eur 35 million was to be carried out jointly by veolia, bcp and the french state via cgmf (eur 8,75 million). the mechanism was completed by additional financial and social security measures with a total value of eur 38,5 million, to be paid by cgmf into an escrow account intended for employees in the event that the buyers decided to reduce staff numbers. to date all of the operations described above have been carried out.
