approval of the terms of merger

fusionsförslaget skall innehålla följande uppgifter:
the draft terms of merger shall include the following particulars:

a) det i artikel 22 nämnda fusionsförslaget.

offentliggörandet av fusionsförslaget i den nationella tidningen skall emellertid i fråga om vart och ett av de fusionerande kooperativen innehålla följande uppgifter:
publication of the draft terms of merger in the national gazette shall, however, include the following particulars for each of the merging cooperatives:

i de fall då det enskilda fondföretagets nationella lagstiftning föreskriver att fusionsförslaget måste godkännas av andelsägarna ska medlemsstaterna säkerställa att informationen får innehålla en rekommendation från respektive förvaltningsbolag eller från investeringsbolagets styrelse.
member states shall ensure that in cases where, under the national law for the particular ucits, the merger proposal must be approved by unit-holders, the information may contain a recommendation by the respective management company or board of directors of the investment company as to the course of action.

varje fusionerande bolag skall därför överlämna det intyg som avses i artikel 25.2 till denna myndighet inom sex månader från och med intygets utfärdande samt en kopia av det av bolaget godkända fusionsförslaget.
to that end each merging company shall submit to the competent authority the certificate referred to in article 25(2) within six months of its issue together with a copy of the draft terms of merger approved by that company.
